Terms of Service

1. Acceptance of Terms

By accessing and using Maintainspect.ai (the "Platform", "Service", or "we", "our", "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Maintainspect.ai is a cloud-based AI-powered building inspection and maintenance management platform that enables users to:

• Upload and analyze building photographs using computer vision and AI models
• Generate automated inspection reports referencing international building standards
• Track maintenance issues and create maintenance plans (MJOP)
• Manage inspection data and access historical records
• Collaborate with team members on inspections and reports
• Apply country-specific inspection frameworks and standards (see Section 12)

The Service is provided on an "as-is" basis and may be subject to changes at our discretion. We reserve the right to modify or discontinue features with notice.

3. User Eligibility

By using Maintainspect.ai, you represent and warrant that:

• You are at least 16 years of age
• You are legally authorized to enter into this agreement
• You have the right and authority to bind your organization (if registering on behalf of a company)
• You will not use the Service for any illegal purpose or in violation of any applicable laws or regulations
• You are a building inspection professional, property manager, or authorized property owner

Users under 16 are not permitted to use this Service. We reserve the right to verify user eligibility.

4. Account Registration and Security

4.1 Account Creation

To use Maintainspect.ai, you must create an account by providing accurate, current, and complete information. You agree to update your information to keep it accurate.

4.2 Credentials and Access

You are responsible for maintaining the confidentiality of your password and account credentials. You agree not to share your login information with others. You are fully responsible for all activity that occurs under your account, whether authorized or unauthorized.

4.3 Security Obligations

You agree to: (a) notify us immediately of any unauthorized use of your account, (b) maintain strong passwords, (c) log out after each session, and (d) enable multi-factor authentication when available.

5. Subscription Plans and Billing

5.1 Pricing

Current subscription plans and pricing are displayed on our pricing page. Plans include:

• Starter: €99/month - Ideal for individuals and small teams
• Professional: €199/month - For growing inspection businesses
• Business: €349/month - Enterprise-level features and support

Add-ons are available (e.g., Advanced Reporting, Financial Analysis) at additional costs shown during checkout.

5.2 Payment Terms

• Subscriptions are billed monthly on your billing cycle date
• Payment is processed via Stripe (PCI-DSS compliant)
• We accept all major credit cards and digital payment methods
• You authorize us to charge your payment method on a recurring basis
• Invoices are issued electronically and available in your account

5.3 Failed Payments

If a payment fails, we will attempt to collect it again. If payment fails after multiple attempts, we may suspend your account until payment is received. Suspended accounts cannot access the Platform.

5.4 Refunds

Subscriptions are non-refundable after purchase. However, if you cancel within 7 days of purchase, we offer a full refund (subject to GDPR consumer protection laws). Partial months are not refunded.

5.5 Price Changes

We may change our prices at any time, with 30 days' notice. Continued use of the Service after the effective date constitutes acceptance of new pricing. You may cancel before the effective date if you disagree.

6. Cancellation and Termination

6.1 User Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing cycle. You will retain access to the Platform until the end of the paid period.

6.2 Our Termination Rights

We may terminate or suspend your account immediately, without notice, if:

• You violate these Terms of Service or our Acceptable Use Policy
• You engage in illegal activity or fraud
• You repeatedly fail to pay for your subscription
• You use the Service to harm others or infringe on rights
• We are required to do so by law
• You engage in abuse or harassment toward our team or other users

6.3 Effects of Termination

Upon termination, your right to use the Platform ceases immediately. You may export your data within 30 days. After 30 days, we reserve the right to delete your account and associated data in accordance with our Privacy Policy.

7. Intellectual Property Rights

7.1 Maintainspect IP

Maintainspect.ai and all content, features, and functionality (including software, design, code, text, graphics, logos) are owned by MJOP Beheer or its content providers and are protected by copyright, trademark, and other intellectual property laws.

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for lawful business purposes only. This license does not permit you to:

• Copy, reproduce, or distribute Platform content without permission
• Modify, translate, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Platform
• Remove copyright, trademark, or other proprietary notices
• Resell or commercially exploit the Platform or reports

7.3 Your Content

You retain ownership of building photos and inspection data you upload. However, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and analyze your photos and data using AI models (GPT-4o)
• Generate inspection reports and recommendations
• Use anonymized, aggregated data to improve the Platform (with your consent)

You warrant that all content you upload is yours to use and does not infringe on third-party rights.

7.4 Generated Reports

Inspection reports generated by Maintainspect.ai are created based on AI analysis and your input. You own the generated reports, but acknowledge that AI-generated analysis may not be 100% accurate and should be reviewed by qualified professionals. We are not liable for errors in AI-generated content.

8. AI-Generated Content Disclaimer and User Responsibility

Maintainspect.ai uses artificial intelligence (OpenAI's GPT-4o and vision models) to analyze building photos and generate inspection reports. By using the Service, you acknowledge and agree to the following:

• Non-Professional Service: AI-generated analysis is informational only and does NOT constitute a professional engineering, architectural, or building inspection assessment
• No Liability for AI Output: We are not liable for any errors, omissions, inaccuracies, or incomplete information in AI-generated reports, regardless of the cause
• Mandatory Professional Review: All reports, analyses, and recommendations MUST be reviewed and verified by qualified building professionals with relevant specialist knowledge before any decisions, actions, or communications based on them
• No Warranty of Accuracy: Reports are provided "as-is" without any warranties of accuracy, completeness, correctness, or fitness for any particular purpose
• Standards Compliance is Your Responsibility: While the platform references international building standards (see Section 12), it is YOUR responsibility to ensure that all reports and assessments actually comply with the applicable standards and regulations in your jurisdiction
• Not a Substitute for Physical Inspection: AI-based photo analysis cannot detect all building defects, hidden damage, structural issues, or safety hazards. A physical on-site inspection by a qualified professional remains essential
• Incorrect Use: We are not responsible for any consequences arising from incorrect use of the inspection tool, including but not limited to: incorrect input data, misinterpretation of results, application of wrong standards or norms, or failure to verify AI-generated output

8.1 Acceptance Required at Purchase

By purchasing a subscription to Maintainspect.ai, you explicitly acknowledge and accept the terms of this section in their entirety. You confirm that you understand and agree that:

• You are solely responsible for verifying all AI-generated output with your specialist knowledge
• Maintainspect.ai is a supporting tool and not a substitute for professional inspection services
• MJOP Beheer bears no liability for damages resulting from use or misuse of the platform
• You will not hold MJOP Beheer responsible for incorrect reports, missed defects, or any other errors in AI-generated content

9. Acceptable Use Policy

You agree not to use Maintainspect.ai to:

• Violate any laws, regulations, or third-party rights
• Post illegal, defamatory, abusive, obscene, or threatening content
• Upload malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Platform or others' accounts
• Interfere with the Platform's operation or security
• Scrape, crawl, or bulk-download content without permission
• Send spam, phishing, or fraudulent communications
• Impersonate or misrepresent yourself or others
• Engage in harassment, discrimination, or abuse toward team members or other users
• Sell, trade, or commercialize access to the Platform or reports
• Use the Service for automated data collection or AI training without permission

10. Limitation of Liability

10.1 No Warranties

THE PLATFORM IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be error-free, secure, or uninterrupted
• Warranties that defects will be corrected
• Warranties regarding the accuracy of AI-generated reports and analysis

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAINTAINSPECT.AI SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damage to property or personal injury arising from Service use
• Any claims arising from errors in AI-generated content

Total Liability: Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.

10.3 Exceptions

The above limitations do not apply to: (a) death or personal injury caused by our negligence, (b) fraudulent misrepresentation, or (c) liability that cannot be limited by law.

11. Data and Content Responsibility

11.1 Data Backup

While we employ industry-standard security measures, we are not responsible for data loss. You are responsible for maintaining backups of your important inspection data and reports.

11.2 Sensitive Information

Do not upload personally identifiable information, financial data, or sensitive information unrelated to building inspections. You are solely responsible for any sensitive data you upload.

11.3 Data Deletion

You may delete your inspection data from the Platform at any time. Once deleted, data cannot be recovered. Certain data may be retained for legal, compliance, or backup purposes (see Privacy Policy).

12. International Standards and Compliance

Maintainspect.ai references building inspection standards from multiple countries and international organizations. The platform provides templates and frameworks based on these standards, but does NOT guarantee compliance. Standards referenced include but are not limited to:

• ISO 16739 (IFC): Industry Foundation Classes for data sharing in construction
• ISO 19650: Organization and digitization of information about buildings (BIM)
• ISO 55000: Asset management systems

13. Third-Party Services

Maintainspect.ai integrates with third-party services. You acknowledge and agree to:

• Supabase: Database and backend services (see supabase.com/privacy)
• Stripe: Payment processing (see stripe.com/privacy)
• OpenAI: AI analysis and GPT-4o models (see openai.com/privacy)
• Vercel: Website hosting (see vercel.com/privacy)
• Google Analytics: Website analytics (see google.com/policies/privacy)

These services have their own terms and privacy policies. We are not responsible for their practices.

14. Indemnification

You agree to indemnify, defend, and hold harmless Maintainspect.ai and its officers, directors, employees, agents, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform in violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of third-party intellectual property rights
• Content you upload or information you provide
• Disputes with other users arising from your actions

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands, excluding conflict of law principles. You agree to submit to the jurisdiction of the Dutch courts.

15.2 Dispute Resolution

Before legal action, you agree to attempt informal resolution by contacting us at info@maintainspect.ai. If unresolved within 30 days, either party may pursue legal remedies.

15.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

16. Modifications to Terms

We may modify these Terms of Service at any time. We will notify you of material changes via email or prominent notice on the Platform. Continued use constitutes acceptance. If you disagree with changes, you may cancel your subscription.
